一、服務內容
Foldra 提供 PDF 的轉檔、編輯與相關處理功能。部分功能在你的瀏覽器內完成， 部分需要把檔案上傳到我們的伺服器 —— 介面上都有明確標示， 處理方式與保存期限見隱私權政策。
二、你對上傳的檔案負責
你必須對上傳的每一個檔案擁有處理的權利。使用本服務即表示你聲明：
- 你是該檔案的權利人，或已取得權利人的合法授權；
- 處理該檔案不會侵害他人的著作權、營業秘密或個人資料權益。
我們不會、也無法逐一審查檔案內容 —— 因為我們刻意不看檔案內容。 因此這項責任在你。
三、禁止的用途
下列行為一律禁止，我們保留立即中止服務的權利：
- 規避、破解或移除他人文件上的權利管理措施 （著作權浮水印、購買證明、數位版權標記）；
- 嘗試開啟你不知道密碼的加密檔案；
- 上傳惡意檔案，或利用轉檔引擎的解析行為進行攻擊；
- 以自動化程式大量存取，超出速率限制、影響其他使用者；
- 轉售或重新包裝本服務，未經書面同意。
四、我們刻意不提供的功能
這一段不是免責，是產品的界線，寫在這裡讓你知道要求也不會有：
- 不提供移除浮水印。浮水印在實務上多半是著作權註記或購買證明， 提供通用的移除工具很難與「協助規避權利管理措施」切割。 加一個「我擁有此文件」的勾選框也不算數 —— 那只是把責任推給使用者。
- 不提供密碼破解。「移除密碼保護」功能要求你先輸入正確的密碼； 不知道密碼的檔案，在這裡打不開。
五、轉檔結果與免責
轉檔是格式之間的重建，不是無損搬移。以下限制請務必理解：
- PDF 轉 Office：每一行文字會成為獨立的文字方塊， 段落結構、表格與樣式不會完整保留。適合取用文字，不適合直接接續編輯。
- OCR 與表格辨識：結果為機器推斷，必然存在錯誤。 用於正式用途前請自行核對。
- 塗白遮蔽：預設只是覆蓋，被蓋住的文字仍在檔案裡。 要真正移除必須開啟對應選項 —— 介面上每次都會警告。
- 簽名圖章：把簽名影像疊在 PDF 上屬於「視覺上的簽名」， 不含任何密碼學簽章，無法證明簽署人身分，也無法偵測事後竄改。 需要具法律效力的電子簽章，請使用憑證簽署流程。
在法律允許的最大範圍內，本服務以「現狀」與「現有」提供， 我們不對轉檔結果的正確性、完整性、特定用途的適用性， 或服務不中斷、無錯誤作出任何明示或默示的保證。 轉檔結果請你在正式使用前自行核對 —— 這一點在上面每一項限制裡都成立。
因使用本服務所生之損害，賠償責任以你就該筆服務實際支付的金額為上限。 我們不負責你因此產生的間接損失，例如利潤減少、業務中斷、 或另行取得替代服務的費用。
但下列責任依法不得預先免除或限制，本條款也不打算免除：
- 我們的故意或重大過失所生的責任（《民法》第 222 條， 這是強制規定，寫在契約裡也無效）。
- 《消費者保護法》為消費者所設、不得以契約排除的權利。
為什麼要把這一段寫出來。市面上常見的免責條款會用 一句話把所有情形、所有責任理論一次排除掉。那種寫法在台灣的定型化契約裡， 牴觸強制規定的部分是無效的（《消保法》第 12 條：違反誠信原則、 對消費者顯失公平者無效），寫了也擋不住 —— 而且會讓整份條款看起來是想蒙混過去。我們寧可寫得窄一點但是真的算數。
六、檔案保存與遺失
上傳的檔案在轉檔完成後 60 分鐘內硬刪，不做備份。 下載連結逾期即失效。請自行保留原始檔案 —— 本服務不是儲存空間，也不承擔檔案遺失的責任。
七、付費與退款
7.1 訂閱方案
付費訂閱自 2026 年 9 月 9 日起開放購買。 未購買訂閱時，本服務的免費額度仍可繼續使用，不會產生任何費用； 訂閱是自願的，而且**不自動續約**（見下方「續約」）。

不自動續約是刻意的。我們不保存你的付款工具，也不會在你沒有 再次確認的情況下扣款。代價是你必須自己記得續購 —— 所以有上面那封提醒信。 那封信只是提醒，不點也不會扣款。
台幣金額怎麼換算
方案以美元計價。以台幣付款時，台幣金額依 臺灣銀行「即期賣出」牌告匯率換算， 以本服務產生該筆訂單當下所取得的牌價為準， 金額會在付款頁面上明確顯示，你確認之後才會送出。
臺灣銀行同一天會公布四種牌價（現金買入／現金賣出／即期買入／即期賣出）， 且一天之內會更新多次。線上刷卡屬非現鈔交易，慣例採即期賣出， 所以這裡採用它 —— 把是哪一家銀行、哪一種牌價、以哪一個時點為準都寫清楚， 是為了爭議時有共同的依據，不是為了寫得長。
因此同一個方案在不同日期的台幣金額會不一樣。 以付款頁面顯示、你按下確認的那個金額為準。
金流由第三方服務商處理，其服務條款另行適用，我們不接觸完整卡號。 統一發票依中華民國稅法開立。
以下 7.2 與 7.3 自付費開放之日起適用。
7.2 七日解除權的排除
依《消費者保護法》第 19 條第 1 項但書，以及《通訊交易解除權合理例外情事適用準則》 第 2 條第 5 款：非以有形媒介提供之數位內容，或一經提供即為完成之線上服務， 經企業經營者告知、且經消費者事先同意始提供者，排除七日解除權的適用。
本服務屬於上述情形：你上傳檔案、我們即時完成轉檔並提供下載， 服務在提供的當下就已完成。因此：
- 付款前會明確告知你將排除七日解除權，並要求你主動勾選同意。 不勾選就不會開始提供服務 —— 這是法規要求的「事先同意」，不是形式。
- 同意之後，已提供的服務不適用七日無條件解除。
- 我們會記錄你同意的時間與當時的條款版本，作為雙方的憑據。
這不影響你在法律上的其他權利：服務有瑕疵、與說明不符， 或因我們的原因無法提供時，你仍可依法主張。下一節就是這件事。
7.3 什麼情況我們會退款
- 服務未能提供：付款後因我們的系統問題無法完成轉檔，全額退款。
- 與說明不符：功能的實際行為與網站說明有實質落差。
- 重複扣款：全額退還重複的部分。
轉檔結果的還原度不在此列 —— 各項功能的限制在介面上都事先寫明 （例如 PDF 轉 Office 的版面重建、OCR 的辨識誤差），請於購買前確認。
八、服務中斷與變更
我們可能因維護、升級或不可抗力而暫停服務，並保留新增、修改或移除功能的權利。 影響既有付費方案的重大變更會事先公告。
九、智慧財產權
本服務的程式碼、介面設計與文案為源傑企業社所有。 你的檔案永遠是你的 —— 我們不因你使用本服務而取得任何權利。
本服務使用多項開源元件，授權聲明見 /licenses。
十、準據法與管轄
本條款以中華民國法律為準據法，不適用其國際私法上的法律選擇原則。
因本服務所生之爭議，雙方合意以臺灣新竹地方法院 為第一審管轄法院（本商號登記地址在新竹縣竹北市）。
這是非專屬的合意管轄。《消費者保護法》第 47 條規定 「消費訴訟，得由消費關係發生地之法院管轄」—— 你仍然可以依該條， 在消費關係發生地的法院起訴，不受上一段限制。 把使用者一律綁到我們家門口的法院，在定型化契約裡本來就常被認定無效， 與其寫一條擋不住的，不如把它講清楚。
十之一、歐洲經濟區與英國：不提供服務
本服務不對歐洲經濟區（EEA）與英國提供服務，也未針對該等市場進行招攬。 來自該等地區的連線會在網站與 API 兩端被拒絕（HTTP 451）。 我們不以該等地區的語言招攬、不標示該等地區的貨幣，也不提供該等地區的在地付款方式。 我們不會依發卡地區篩選支付工具（金流服務商只回報國內卡／國外卡， 不含發卡國別），擋在前面的是上述的連線封鎖。詳見 隱私權政策第六之一節。
十一、條款變更
條款如有修改，會更新本頁日期並於網站公告。修改後繼續使用即視為同意。

Terms of Service

This English text is a courtesy translation. The Traditional Chinese version governs.
1. The service
Foldra converts, edits and processes PDF files. Some features run in your browser; others upload the file to our servers. Which is which is labelled in the interface. See the Privacy Policy for handling and retention.
2. You are responsible for what you upload
You must have the right to process every file you upload. We do not — and cannot — review file contents, because we deliberately do not look at them. That responsibility is therefore yours.
3. Prohibited uses
- Circumventing, breaking or removing rights-management measures on someone else's document (copyright watermarks, proof of purchase, DRM markings);
- Attempting to open an encrypted file whose password you do not know;
- Uploading malicious files, or abusing the conversion engine's parsing as an attack vector;
- Automated bulk access beyond the rate limits;
- Reselling or repackaging the service without written consent.
4. Features we deliberately do not offer
- No watermark removal. Watermarks are usually copyright notices or proof of purchase; a general-purpose remover cannot be cleanly separated from "helping circumvent rights management". An "I own this document" checkbox does not change that — it merely shifts the blame to the user.
- No password cracking. "Remove password protection" requires you to enter the correct password. A file whose password you do not know cannot be opened here.
5. Results and disclaimer
Conversion rebuilds between formats; it is not a lossless move. PDF-to-Office turns each line into its own text box; OCR and table detection are machine inference and will contain errors; white-out covers rather than removes unless you enable the destructive option; and a signature stamp is a visual signature only — it carries no cryptographic signature and proves nothing about who signed.
To the fullest extent permitted by law the service is provided "as is" and "as available". We make no express or implied warranty as to the accuracy, completeness or fitness for a particular purpose of a conversion, nor that the service will be uninterrupted or error-free. Check the output before you rely on it.
Our liability for any damage arising from your use of the service is limited to the amount you actually paid for that particular conversion. We are not liable for indirect losses such as lost profits, business interruption, or the cost of obtaining a substitute service.
The following cannot be excluded in advance under Taiwanese law, and these terms do not attempt to exclude them: liability for our own intent or gross negligence (Civil Code art. 222, a mandatory rule that a contract cannot override), and the rights the Consumer Protection Act gives consumers.
Wording that sweeps away every kind of liability under every theory at once is void in a Taiwanese standard-form consumer contract to the extent it conflicts with those rules (Consumer Protection Act art. 12). We would rather write something narrower that actually holds.
6. Retention and loss
Uploaded files are hard-deleted within 60 minutes with no backups. Keep your own originals — this is not a storage service.
7. Payment and refunds
7.1 The subscription
The paid subscription has been open for purchase since 9 September 2026. Without a subscription the free allowance still works and nothing is charged. Subscribing is optional, and it does not auto-renew (see "Renewal" below).

The absence of auto-renewal is deliberate. We do not keep your payment instrument and will never charge you without a fresh confirmation. The trade-off is that you have to remember to buy again — hence the reminder. That email is a reminder only; ignoring it charges you nothing.
How the NT$ amount is worked out
The plan is priced in US dollars. When you pay in New Taiwan dollars, the amount is converted at the Bank of Taiwan "spot selling" rate, taken at the moment we create your order. The amount is shown on the payment page and is only submitted after you confirm it.
The Bank of Taiwan publishes four rates a day (cash buying, cash selling, spot buying, spot selling) and updates them several times a day. An online card payment is not a cash transaction, so the spot selling rate is the conventional one and is what we use. Naming the bank, the rate and the moment is there so that both sides have the same reference if it is ever disputed.
This means the NT$ amount differs from day to day. The amount shown on the payment page, the one you confirm, is the one that counts.
Payments are handled by a third-party provider under its own terms; we never see full card numbers. Invoices are issued under Taiwanese tax law.
7.2 Waiver of the seven-day withdrawal right
Under the proviso to Article 19(1) of Taiwan's Consumer Protection Act, and Article 2(5) of the Regulations on Reasonable Exceptions to the Right of Withdrawal in Distance Sales, the seven-day withdrawal right does not apply to digital content not supplied on a tangible medium, or an online service completed upon provision, where the trader has so informed the consumer and the consumer has given prior consent to provision.
This service falls into that category: you upload a file, we convert it immediately and provide the result — the service is complete at the moment it is provided. Accordingly:
- Before payment we tell you clearly that the seven-day withdrawal right will be waived, and ask you to tick a box to agree. Without that tick the service does not begin — the law requires prior consent, not a formality.
- We record the time of your consent and the version of these terms then in force.
Your other legal rights are unaffected. If the service is defective, does not match its description, or cannot be provided for reasons on our side, you may still make a claim — see below.
7.3 When we refund
Service could not be provided owing to a fault on our side; the feature materially differs from its description on the site; or duplicate charging. Conversion fidelity is not covered — each feature's limitations are stated in the interface before you use it.
8. Interruption and change
We may suspend the service for maintenance or force majeure, and may add, change or remove features. Significant changes affecting paid plans will be announced in advance.
9. Intellectual property
The code, interface and copy belong to 源傑企業社. Your files remain yours — using the service grants us no rights over them. Open-source notices: /licenses.
10. Governing law
The laws of the Republic of China (Taiwan) apply, without regard to their conflict-of-laws rules. The parties agree on the Taiwan Hsinchu District Court as the court of first instance (our registered address is in Zhubei City, Hsinchu County).
This is a non-exclusive choice of forum. Article 47 of the Consumer Protection Act lets a consumer sue in the court where the consumer relationship arose, and nothing above takes that away.
10a. EEA and UK: not served
This service is not offered to users in the European Economic Area or the United Kingdom, and it is not directed at those markets. Requests from those regions are refused at both the website and the API (HTTP 451). We do not market in the languages of those regions, do not display their currencies, and do not offer payment methods local to those regions. We do not screen payment instruments by issuing region — our provider reports only domestic vs foreign, not the issuing country — so the connection block above is what stops those regions. See section 6a of the privacy policy.
11. Changes to these terms
Changes are reflected in the date above and announced on the site. Continued use means acceptance.
